Udemy's mission is to improve people's lives through learning. We enable anyone to create and share educational content (instructors) and access that educational content to learn (students) anywhere in the world. We believe that our virtual store model is the best way to offer valuable educational content to our users. We need rules that keep our platform and services safe for you, for us, for our students, and for our community of instructors. These Terms apply to all activities you conduct on the Udemy website, Udemy mobile apps, our TV apps, our APIs, and all other related services (“Services”).

If you publish a course on the Udemy platform, you must also agree to the Instructor Terms. We also provide details regarding the processing of our students' and instructors' personal data in our Privacy Policy. If you use Udemy as part of your company's Udemy For Business learning and development program, you can review our Udemy Business Privacy Statement.

If you live in the United States or Canada, and you agree to these Terms, you agree to resolve disputes with Udemy through binding arbitration (with very limited exceptions, not in court). Students and instructors must be at least 18 years of age to create a Udemy account and use the Services. If you are not of legal age to use online services, you will not be able to create a Udemy account. If we discover that you have created an account and you are not yet of legal age for using online services (for example, 13 in the US or 16 in Ireland), we will terminate your account. 2.Content enrollment and lifetime access

When you sign up for a course or other content, we provide you with a license to view it through the Udemy Services, but for no other use. Do not attempt to transfer or resell content in any way. We generally grant you a lifetime access license, except where we need to disable content for legal, policy, or enrollment reasons through Subscription Plans.

Pursuant to our Instructor Terms, when instructors post content to Udemy, they provide Udemy with the license to provide students with a corresponding license to the content. This means that we have the right to sublicense the content to students who sign up for it. As a student, when you enroll in a course or other content, whether free or paid, Udemy will provide you with a license from Udemy to view the content through the Udemy platform and the Services, and Udemy is the licensee of record. You get a license to enjoy the content, but it is not sold to you. This license does not give you any right to resell the content in any way; You also may not share account information with a buyer or illegally download content for later sharing on torrent sites.

Stated in legal language and in more detail, Udemy offers you (as a student) a limited, non-transferable, non-exclusive license to view and access the Related Content for which you have paid all applicable fees, exclusively for personal, non-commercial, and educational purposes, and only through the Services, in accordance with these Terms and any other terms or restrictions associated with particular content or a specific feature of our Services. All other uses are expressly prohibited. We typically provide a lifetime access license to our students when they enroll in a course or other content. However, we reserve the right to revoke any license to access and use the content at any time in the event that we decide or must disable access to the content for legal or policy reasons; for example, if the content you have signed up for is the subject of a copyright complaint or if we determine that the content violates our Trust and Safety Guidelines. This lifetime access license does not apply to enrollments through Subscription Plans or to additional features and services associated with the course or other content for which you enroll. For example, instructors can decide at any time to no longer provide content-related learning aids or Q&A services. For clarification, lifetime access refers to access to the course content, but not the instructor.

Instructors may not license their content directly to students, and such direct licenses will be null and void as a violation of these Terms.

3. Payments, credits and refunds

 

When you make a payment, you agree to the use of a valid payment method. If you are not satisfied with the content, Udemy offers a 30-day refund or credits period for most content purchases.

 

3.1 Prices

Pricing for content on Udemy is determined based on the Instructor Terms and our Promotions Policy. In some cases, the price of content offered on the Udemy website may not be exactly the same as that offered on our mobile or TV applications, due to the mobile platform providers' fee systems and their policies regarding the implementation of offers and promotions.

We occasionally run promotions and offers for our content, and some content is available at discounted prices for a certain period of time. The price applied to the content will be the price in effect at the time you complete the purchase of the content (at checkout). Any price offered for specific content may also be different when you sign in to your account from the price available to non-registered or signed-in users, because some of our promotions are only available to new users.

When you're signed in to your account, the currency displayed is based on the location you were in when you created your account. When you are not logged into your account, the price currency displayed is based on the country in which you are located. We do not allow users to view prices in other currencies.

If you are a student located in a country where sales and use tax, excise tax, or VAT (Value Added Tax) is applied to consumer sales, we assume responsibility for collect and remit such taxes to the appropriate tax authorities. Depending on your location, the price displayed will include these taxes or they will be added at checkout.

3.2 Payments

You agree to pay the fees for the content you purchase, and you authorize us to charge the amount of such fees to your debit or credit card, or to process it using any other form of payment (such as Boleto, SEPA, direct debit, or mobile wallet). Udemy partners with payment service providers to offer you the most convenient payment methods in your country and keep your payment information secure. We may update your payment methods using information provided to us by our payment service providers. See our Privacy Policy for more information.

When you make a purchase, you agree that you must not use an invalid or unauthorized payment method. If an error occurs with your payment method, but you still obtain access to the content for which you have signed up, you agree to pay us the applicable fees within thirty (30) days of receipt of our notification. We reserve the right to disable access to any content for which we have not received payment.

3.3 Refunds and refund credits
If the content you have purchased is not what you expected, you may request, within 30 days of purchasing the content, that Udemy issue a refund to your account. This refund option does not apply to purchases of Subscription Plans, covered in section 8.4 below. We reserve the right to apply your refund in the form of refund credits or to issue a refund to your original payment method, at our discretion, based on the capabilities of our payment service providers, the platform on which you purchased the content (website, or mobile or TV app) and other factors. No refund will be provided if requested after the 30-day warranty period. If we decide to refund credits to your account, they will automatically be applied to the next content you purchase on our website, but they cannot be used for purchases made through our mobile or TV applications. Cashback credits may expire if not used within the specified time period and have no cash value, unless otherwise required by applicable law.

At our sole discretion, if we believe that you are abusing our refund policy, for example, if you have consumed a significant portion of the content for which you are requesting a refund or if you have previously requested a refund for the content, we reserve the right to refuse refund, restrict your future refund requests, prohibit access to your account or restrict your future use of the Services. If we ban access to your account or disable your access to content due to your violation of these Terms or our Trust and Safety Guidelines, you will not be eligible for a refund. 3.4 Promotional and gift codes

Udemy or our partners may offer promotional and gift codes to students. Some codes can be redeemed for promotional or gift credits applied to your Udemy account, which can, in turn, be used to purchase eligible content on our platform, and are subject to the terms included with your codes. Other codes can be redeemed for specific content. Promotional or gift credits cannot be used for purchases on our mobile or TV apps.

These codes and credits, as well as the promotional value linked to them, may expire if not used within the period specified in your Udemy account. Promotional and gift codes offered by Udemy cannot be redeemed in cash, unless specified in the terms included with the codes or required by applicable law. Promotional and gift codes offered by a partner will be subject to that partner's refund policies. If you have various amounts of credits saved, Udemy may determine which of those credits will be applied to your purchase. 4. Rules of content and behavior


You may only use Udemy for lawful purposes. You take responsibility for all content you post on our platform. You must ensure that reviews, questions, posts, courses, and any other content you upload online comply with our Trust & Safety Guidelines and the law, as well as respect the intellectual property rights of others. We may ban your account for repeated or serious misconduct. If you think someone is infringing your copyright on our platform, please let us know.

You may not access or use our Services, or create an account, for any illegal purpose. Your use of the Services and your behavior on our platform must be in accordance with local or national laws and regulations in your country. You are solely responsible for knowing and complying with those laws and regulations that apply to you.

If you are a student, the Services allow you to ask questions of instructors about courses or other content you are enrolled in, as well as post reviews of content. For certain content, the instructor can invite you to submit content, such as “homework” or tests. Do not post or submit content that is not yours.

If you are an instructor, you can submit content for publication on the platform. You can also communicate with students who have signed up for your courses or other content. In both cases, you must comply with the law and respect the rights of others: You may not post courses, questions, answers, reviews, or other content that violates local or national laws or regulations in your country. You assume full responsibility for the courses and content you post, as well as the actions you take and their consequences, through the platform and the Services. Please ensure that you understand all copyright restrictions included in the Instructor Terms before submitting content for publication on Udemy.

If you receive a notification that your course or content violates the law or the rights of others (for example, if it has been established that it infringes the intellectual property or trade dress rights of others, or is related to illegal activity), or we discover that your content or behavior violates our Trust and Safety Guidelines, or we believe that your content or behavior violates the law or is inappropriate or objectionable (for example, if you impersonate someone else), we may remove your content from our platform. Udemy may enforce these Terms and our Trust and Security Guidelines in its sole discretion. We may terminate or restrict your permission to use our platform and Services, or ban your account, at any time, with or without notice, for any reason, including: if there is any violation of these Terms, if you fail to pay the due fees in due time, for fraudulent return requests, at the request of legal authorities or government agencies, for extended periods of inactivity, for unexpected technical problems, if we suspect fraudulent or illegal activities, or for any other reason and at our sole discretion. When you post content, comments, questions, or reviews, and when you send us your ideas and suggestions for new features or enhancements, you authorize Udemy to use and share this content with anyone, distribute and promote it on any platform or media, and make changes or edits to it. as we consider.

Legally, by submitting or posting content on or through the Platforms, you grant us a royalty-free, non-exclusive, worldwide license (with right to sublicense) to use, copy, reproduce, process, adapt, modify, publish , transmit, display and distribute your content (including your name and likeness) in any media or distribution method (currently existing or hereafter developed). By accessing the content, you rely on the information provided by the instructor at your own risk.

By using the Services, you may be exposed to content that you find offensive, indecent or objectionable. To the extent permitted by applicable law, Udemy assumes no responsibility or liability with respect to your access to or enrollment in any courses or other content. This also applies to all content related to health, wellness and physical exercise. You acknowledge the risks and dangers inherent in the intense nature of this type of content; therefore, by accessing such content, you voluntarily choose to assume these risks, including the risks of disease, bodily injury, disability, or death. We do not hire or employ instructors, nor do we assume any responsibility for interactions that occur between instructors and students. We also do not assume any responsibility for damages, disputes, claims, losses or injuries of any kind that may arise from or relate to the conduct of instructors or students.

When you use our Services, you will find links to other websites that are not owned or controlled by us. We do not assume any responsibility for the content or any other aspect of these third party sites, including the collection they make.

7. Udemy Rights

 

We own the Udemy platform and Services, including the website, existing or future services and applications, and items such as our logos, APIs, code, and content created by our employees. You may not manipulate these items or use them without authorization.

We will charge you the subscription fee for your next billing cycle at the end of the free trial period. Your subscription will automatically renew according to your subscription settings (eg, monthly or yearly) unless you cancel before the end of the free trial period. 8.4 Payments and billing
The subscription fee will be indicated at the time of purchase. Visit our support page for more information on where to check the rates and dates applicable to your subscription. Payments are non-refundable and no refunds or credits will be provided for partially used periods, unless required by applicable law. To subscribe to a Subscription Plan, you must provide a payment method. If you are a student located in India, you are contracting with Udemy India LLP and these Terms are governed by the laws of India, without regard to choice of law provisions or conflict of law principles, and you agree to jurisdiction and exclusive jurisdiction of the courts of Delhi (India).

If you are a student located in a geographic region other than India or if you are accessing our Services as an instructor, you are contracting with Udemy, Inc. and these Terms are governed by the laws of the State of California (USA), regardless of choice of law provisions or conflict of law principles. In those cases where the "Dispute Resolution" section does not apply to you, you consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco, California, USA.

9.6 Legal actions and notices
Neither party may take any action related to this Agreement, regardless of the form, after one (1) year from the occurrence of the cause that originated it, except when the law may not impose such a limitation.

You may not assign or transfer these Terms (or the rights and licenses granted under them). For example, if you have registered an account as an employee of a company, your account cannot be transferred to another employee. If this doesn't work and you live in the United States or Canada, your options are limited to going to the lower court or filing a claim through binding arbitration. 10.1 Courts of first instance
Either you or we may bring a claim in the district court in (a) San Francisco, California, (b) the country in which you live, or (c) any other location that we agree upon, provided that such court meet the necessary requirements to file the claim.

10.2 Arbitration
If we are unable to resolve our dispute amicably, both you and Udemy agree to resolve any claim relating to these Terms (or our other legal terms) through a final and binding arbitration process, regardless of the type of claim or legal theory. . If one of us files a claim in court that must be submitted to arbitration and the other party rejects it, the other party may request that a court compel both parties to initiate such arbitration (binding arbitration). Either party may request that a court stop a judicial proceeding while an arbitration proceeding is in progress.

10.3 Arbitration Process
Any dispute involving a claim of less than $10,000 must be resolved exclusively through a binding non-appearance arbitration process. The party selecting arbitration must initiate the proceeding by filing a demand for arbitration with the American Arbitration Association (AAA). The arbitration process will be governed by the commercial arbitration rules (“Commercial Arbitration Rules”), the consumer process protocol (“Consumer Due Process Protocol”) and the complementary procedures for the resolution of consumer disputes (“Supplementary Procedures for Resolution of Consumer-Related Disputes”) of the AAA. Both you and we agree that the following rules will apply to the proceedings: (a) the arbitration will be conducted by telephone, online, or only through written submissions (at the option of the party seeking remedies); (b) the arbitration must not include the personal appearance of the parties or witnesses (unless you and we agree otherwise); and (c) the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Disputes involving a claim of more than $10,000 must be resolved by the AAA rules regarding whether the arbitration hearing must be held in person.

10.4 Participation in group actions is prohibited
Both you and we agree that we can only bring claims against the other on an individual basis. This means the following: (a) neither of us may bring a claim as a plaintiff or class member in a class action, class action, or representative action; (b) an arbitrator may not combine the claims of multiple persons in a single case (or preside over any joint, class, or representative action), and (c) an arbitrator's decision or award in the case of one person may only have an impact on that user, not on other users, and cannot be used to make a decision regarding other users' disputes. If a court decides that this clause (“Participation in class actions is prohibited”) is not applicable or valid, the section “Dispute Resolution” will be considered null and void, but the rest of the Conditions will continue in effect.
